General Terms

• Ripsite Limited (hereinafter referred to as Ripsite) do not allow Adult, Warez, illegal MP3 Sites or IRC Bots. 

• You may not store more data in your account than your allotted server space. 

• Your server space and ftp account is for your personal use only. You must not divulge the password to any other person, and you should take reasonable precautions to ensure that it is not discovered by other people. 

• Data stored on our servers is not guaranteed to be backed up. It is recommended that you keep an independent backup of all data stored on your web space unless a specific backup service is negotiated and offered by Ripsite for individual clients.

• Ripsite will not be held liable for any loss or damages caused by the use or misuse, unavailability or removal of services. 

• When your account is closed, all files (including web pages, etc.) will be deleted. 

• Ripsite reserves the right to cancel your account at any time without notice. 

• Ripsite reserves the right to amend and update these Terms and Conditions at any time without notice. 

• To protect your privacy Ripsite will never distribute your name or e-mail address to any third parties. 

• Users must not participate in any form of un-solicited bulk e-mailing or spam. 

• By logging into your account, or uploading files to it, you are indicating your acceptance of these Terms and Conditions.

Bandwidth

• Bandwidth refers to the amount of visitor traffic is used on your domain, by uploading to and downloading from your site, and by your email traffic. Our Hosting Packages are limited in bandwidth use as follows: Silver: 2 Gb, Gold: 4 Gb, Platinum: 6 Gb.

• If you near your bandwidth limit, we will notify you by email. Additional bandwidth will be charged at £5 per Gb + VAT.

Web Pages

• Commercial use of web and ftp space is permitted. 

• You will be responsible for the content of your pages, including obtaining the legal permission for any works they include and ensuring that the contents of these pages do not violate UK law.

• You will be held responsible for and accept responsibility for any defamatory, confidential, secret or other proprietary material available via your page(s).

• We reserve the right to remove material deemed inappropriate from your web pages, without prior notice. Ripsite does not allow adult, warez or illegal MP3 web sites on their servers.

Cancellation and Refunds

• If you purchase an annual package you are expected to commit for this period of time. If you cancel your account within your service period then Ripsite will not make refunds on any unused portions of your account. While we do not offer refunds for pro-rated service (beyond our 30 day money back guarantee which is applicable to annual accounts only) you have no obligation to continue using our service. 

• Our 30 day money back guarantee (applicable to annual accounts only) excludes the refund of domain name registration fees.

• Ripsite reserves the right to cancel the service at any time. Customer refund requests are to be sent to accounts and will only be processed in the cases of service non-performance where Ripsite is clearly at fault. Refund requests for problems beyond Ripsite's control will be refused. (For example: Domain transfer failure, Failure of any third party script or program that's not supported by Ripsite.)

Indemnification

• Customer agrees that it shall defend, indemnify, save and hold Ripsite Ltd. harmless from any and all demands, liabilities, losses, costs and claims, including reasonable solicitors fees asserted against Ripsite Ltd., its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless Ripsite Ltd. against liabilities arising out of:
  
  (1) any injury to person or property caused by any products sold or otherwise distributed in connection with Ripsite Ltd's server.
  (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party.
  (3) copyright infringement.
  (4) any defective products sold to customer from Ripsite Ltd's server. 

Disclaimer

• Ripsite Ltd will not be responsible for any damages your business may suffer, Ripsite Ltd. makes no warranties of any kind, expressed or implied for services we provide. Ripsite Ltd. disclaims any warrantor merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, viruses and any and all service interruptions caused by Ripsite Ltd and its employees.

Procedures, Terms & Conditions of Sale

 The Purchasing of Goods

• The customer is responsible to Ripsite for ensuring the accuracy of any orders.

• The customer is responsible for written confirmation of orders placed; any errors made on verbal orders can only be rectified at the customers expense.

• The customer indemnifies Ripsite in full against all loss (including the loss of profit), costs, damages, charges and expenses incurred by Ripsite as a result of cancellation of a order; any such cancellation must be informed to Ripsite in writing.

• No variation to the Ripsite Terms and Conditions of Sale shall be valid unless agreed in writing.

• In the event of increased cost to Ripsite, we reserve the right to increase prices to reflect this prior to shipment and on informing the customer.

Payment terms

• Payment forms currently accepted by Ripsite for payment of goods include Transaxed cheque, cash, payment through Ripsite’s Paypal account for online payments, or else by means of cleared funds (TT, CHAPS or Bankers Draft) or deposit of cleared funds in our bank account with shipment only on confirmation from our bank unless pre-arranged with Ripsite.

• Goods supplied on credit will remain the property of Ripsite until payment has been made with specific terms agreed. If the customer fails to make on the due date, then without prejudice to any right or remedy available, Ripsite will be entitled to:

• Cancel the contract or suspend any further deliveries, or suspend any services to the customer.

• Appropriate any payment made by the customer to such of the goods as Ripsite may think fit.

• Charge interest at 5% over prevailing base rate on all overdue amounts.

• Recover all costs incurred in case of litigation.

Miscellaneous

• Each party shall treat as confidential all information obtained from the other.

• These conditions shall be governed by British Law.

• Any claims against Ripsite shall be brought in the English courts. Ripsite reserves the right to bring proceedings against you in either the English courts or in the courts of the country in which you are domiciled.
